1. About These Terms

These Terms and Conditions govern the supply of food products and distribution services by Arsa Food B.V. ("Arsa Food", "we", "us") to registered trade customers ("you", "the Customer"). By placing an order or opening a trade account, you agree to these terms in full.

2. Trade Account Eligibility

Trade accounts are available exclusively to registered businesses. To open an account, you must provide:

• Valid company name and registered business address
• VAT registration number (EU businesses)
• Chamber of Commerce or equivalent registration number
• Business profile: Retail Shop, Wholesale, or Horeca

Arsa Food reserves the right to decline or close any trade account at our discretion.

3. Orders and Acceptance

All orders are subject to acceptance by Arsa Food. An order is accepted when we issue a written confirmation. We reserve the right to decline any order without giving reasons. Minimum order quantities and values may apply and are communicated at the time of ordering.

4. Pricing

All prices are quoted exclusive of VAT unless otherwise stated. Prices are subject to change without notice prior to order acceptance. Once an order is confirmed, the price will not change unless there is a mutual written agreement. Arsa Food reserves the right to adjust pricing to reflect changes in supplier costs, currency fluctuations, or regulatory requirements.

5. Payment Terms

• Payment is due within 14 days of invoice date unless otherwise agreed in writing
• We accept bank transfer and other methods as agreed at account opening
• Late payments may incur interest at 8% above the Dutch statutory rate per annum
• Arsa Food reserves the right to suspend deliveries to accounts with outstanding balances

6. Delivery

Delivery lead times are estimates and not guaranteed. Risk of loss passes to the Customer upon delivery. Arsa Food is not liable for delays caused by circumstances beyond our reasonable control, including logistics disruptions, customs delays, or force majeure events.

Delivery Conditions

• Delivery is made to the address specified at the time of order
• The Customer must ensure a responsible person is available to accept delivery
• Failed deliveries may incur re-delivery charges

7. Returns and Claims

Claims for damaged, incorrect, or missing goods must be made in writing within 48 hours of delivery, accompanied by photographic evidence where applicable. We do not accept returns of perishable goods unless they are demonstrably defective. Agreed returns must be made in original packaging and in resaleable condition.

8. EU Food Safety Compliance

All products supplied by Arsa Food are imported, labelled, and distributed in compliance with EU food safety and labelling regulations, including Regulation (EC) No 178/2002 and Regulation (EU) No 1169/2011. Customers are responsible for ensuring products are stored and displayed in accordance with applicable regulations at their premises.

9. Intellectual Property

All brand materials, catalogues, product imagery, and content provided by Arsa Food remain our intellectual property or that of the relevant brand owner. You may not reproduce, distribute, or use such materials without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by Dutch and EU law, Arsa Food's total liability to the Customer shall not exceed the value of the relevant order. We are not liable for indirect, consequential, or loss-of-profit claims.

11. Governing Law

These Terms and Conditions are governed by the laws of the Netherlands. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in The Netherlands.

12. Amendments

Arsa Food reserves the right to amend these Terms at any time. Updated terms will be published on our website. Continued use of our services after publication constitutes acceptance of the updated terms.
